Terms & Conditions

By creating an account, paying for a subscription, or using the Sellify platform in any way, you agree to these terms.

1. What Sellify is

Sellify is a B2B marketplace that connects independent traders to one another. We do not sell, own, ship, store, or take custody of any goods listed on the platform. Every trade happens directly between two members.

2. Our role and our limits

We do our best to vet every trader who joins and to maintain a high standard of trust on the platform. However:

  • We are not a party to any transaction. When you buy from or sell to another member, your contract is with that member, not with Sellify.
  • We do not guarantee performance. We cannot guarantee that any seller will deliver the correct goods, on time, in the agreed condition, or at all. We cannot guarantee that any buyer will pay.
  • We are not responsible for losses arising from another member's fraud, insolvency, breach of contract, late delivery, wrong stock, or any other failure to perform.
  • We will mediate in good faith when a dispute arises and will use reasonable efforts to help reach a resolution, but mediation is not a guarantee of recovery.

3. How we vet traders and protect new members

Our priority is to build a safe marketplace, and that begins with onboarding. Every trader who applies to join Sellify is vetted before they are allowed to transact. Vetting includes:

  • Industry knowledge checks — we use our experience of the trade to evaluate the applicant's business, public presence, and reputation.
  • References — we may ask new applicants to provide references from existing trading partners or industry contacts.
  • Pathways for new traders — we believe established platforms should still create room for newcomers. New traders without a long history may be admitted on a probationary basis with additional checks and lower initial limits.
  • Reputation & reviews — every completed trade generates a two-way review, so both buyers and sellers build a verifiable track record over time.
  • Optional escrow (a separate service) — standard trades are settled directly between the buyer and seller. For higher-risk trades (typically when one side is newly onboarded), an optional escrow service may be offered separately: the buyer's payment is held by Sellify and released to the seller once the buyer confirms the goods have been received as described.

Vetting is a best-efforts process, not a guarantee. We do everything reasonable to confirm that members are legitimate at the time of onboarding, but the future conduct of any member is outside our control. Section 2 above continues to apply.

4. Your obligations as a member

You agree to:

  • Provide accurate, current, and complete information when registering and keep your profile up to date at all times.
  • Act in good faith in every transaction. Fraudulent listings, fake reviews, misrepresentation of stock, payment manipulation, identity fraud, or any attempt to circumvent the platform are grounds for immediate termination.
  • Comply with all applicable laws, including consumer protection, VAT and tax law, anti-money-laundering, and import/export regulations in your jurisdiction.
  • Agree to and adhere to the platform-wide grading standards published in your profile settings. The grading framework is what every member relies on to make pricing and buying decisions, and misrepresenting grade is treated as a breach of these terms.

5. Subscription, payment, and refunds

Sellify subscriptions are billed annually in advance. All subscription purchases are non-refundable — the subscription unlocks access to our verified directory, contact details, and trading tools, which carry value the moment access is granted. By subscribing you acknowledge that:

  • No refunds will be issued under any circumstances, including unused time, account suspension for breach of these terms, or change of mind.
  • Subscriptions renew automatically. You can cancel at any time via the billing portal to prevent the next renewal.
  • VAT is added at checkout based on your billing country. EU and UK B2B customers with a valid VAT/Tax ID may receive reverse-charge treatment where applicable.

6. Account suspension and termination

We reserve the right to suspend or terminate any account, with or without notice, at our sole discretion, including (but not limited to) where we believe a member is:

  • Acting in bad faith, attempting fraud, or otherwise harming other members
  • Providing false or misleading registration information
  • Violating any law applicable to their use of the platform
  • Repeatedly failing to deliver goods or payment as agreed

Suspension or termination does not entitle the affected member to any refund of subscription fees paid.

7. Changes to these terms

We may update these terms from time to time as the platform evolves or as regulation changes. When we do, we will display the updated terms in the app and require you to re-accept them before you continue trading. Once re-acceptance is requested, you may not use the platform until you have accepted the new terms.

8. Limitation of liability

To the maximum extent permitted by law, Fonez Ltd, its directors, employees, and affiliates are not liable for any loss of profit, loss of revenue, loss of stock, business interruption, or any indirect, special, consequential, or punitive damages arising from your use of the platform or any transaction between members.

Our total aggregate liability to any member in any 12-month period is capped at the subscription fees that member paid us during that period.

9. Governing law

These terms are governed by the laws of Ireland. Any dispute arising in connection with these terms is subject to the exclusive jurisdiction of the Irish courts.
